Virginia Assets Proceeding Escrows Estate Estoppel Bankruptcy Lawyers Attorneys

Judicial estoppel did not bar a developer from claiming to own escrows which it had not listed as assets in its prior bankruptcy proceeding, as the bankruptcy court, in denying a creditor’s motion to reopen the bankruptcy proceeding, had placed no reliance on the absence of the escrows as an asset of the developer’s bankruptcy estate.

Chapter 7 debtors, who had unsuccessfully argued in first proceeding that their 401K ERISA pension plans should be exempt from their bankruptcy estates, were precluded under doctrine of collateral estoppel from arguing in later proceeding that the plans were not property of the bankruptcy estates at all, even though in the interim the United States Supreme Court had decided that debtor’s interest in self-settled trust containing an ERISA antialienation provision is excluded from the bankruptcy estate. In re Miller, 153 B.R. 269 (Bkrtcy.D.Minn.1993).

United States Supreme Court’s Patterson decision, holding that antialienation provisions of ERISA are restrictions on transfer enforceable under bankruptcy law, would not be applied retroactively to debtors whose claim of exemption in ERISA-qualified employee benefit plan had been denied more than one year earlier. In re Garret, 158 B.R. 859 (Bkrtcy.M.D.Fla.1993).

Supreme Court decision determining that ERISA (Employee Retirement Income Security Act) antialienation provisions constituted enforceable transfer restriction did not apply retroactively to determination almost nine years earlier according to then-settled law that debtor’s interest in pension and profit-sharing plans was estate property subject to turnover. In re McClellan, 162 B.R. 525 (C.D.Ill.1993), reversed 45 F.3d 432.

Even assuming that provision of Negotiated Rates Act (NRA) exempting small business concern’s from liability on freight undercharge claims applied only to freight undercharge claims brought by carriers who were “no longer transporting property,” requirement that carrier be “no longer transporting property” was not equivalent to “financial condition” requirement, within meaning of bankruptcy statute prohibiting termination of debtor’s interest in property based upon its “financial condition”; statute operated retroactively to deprive bankrupt carrier of its freight undercharge claim against small business concern based solely upon the fact that carrier had ceased operating, and not based on its financial condition. Matter of Best Refrigerated Exp., Inc., 168 B.R. 978 (Bkrtcy.D.Neb.1994).

Issues in state court action, removed to bankruptcy court, as to whether employee pension fund assets were property of debtor’s estate were not governed by Bankruptcy Amendments and Federal Judgeship Act of 1984, since action was pending in district court at time the Act was enacted. Creasy v. Coleman Furniture Corp, 763 F.2d 656 (C.A.4 (Va.) 1985).

Bankruptcy Code section providing that interest of debtor in property becomes estate property notwithstanding any provision in applicable nonbankruptcy law that is conditioned on insolvency or financial condition of debtor and that effects or gives option to effect forfeiture, modification, or termination of debtor’s interest in property did not conflict with Negotiated Rates Act (NRA), and, therefore, did not govern inquiry as to whether, in action brought by carrier, which was bankruptcy debtor-in-possession, against shipper to recover freight undercharges under “filed rate doctrine,” shipper could assert defenses that freight contracts were made pursuant to contract carriage, that attempts to collect freight constituted unreasonable practice, and that filed rates were unreasonable. Jones Truck Lines, Inc. v. Grinnell Corp. Anvil Products Div., 167 B.R. 488 (N.D.Ill.1994).

Exempting shipper from liability for freight undercharges by Chapter 11 debtor, based on information that shipper qualified as “small business concern” under Negotiated Rates Act, was not barred by Bankruptcy Code sections permitting trustee to use, sell, or lease property and indicating that interests of debtor in property becomes property of estate notwithstanding applicable nonbankruptcy law; NRA does not purport to terminate or forfeit interest of debtor in property, or to limit trustee’s right to use, sell, or lease property of estate, and NRA is not conditioned on debtor’s financial condition, but, rather, on status of motor carrier as no longer transporting property. Matter of Best Refrigerated Express, Inc. 170 B.R. 158 (Bkrtcy.D.Neb.1994).
